ZSD Platform Consumer Terms

These Consumer Terms ("Agreement") are a legal agreement between you, as an individual consumer ("Consumer," "you," or "your"), and Zero Sum Defense, Inc. ("ZSD," "we," "us," or "our") governing your use of the ZSD Platform and related services in a personal or household context. These Terms supplement our ZSD Services Agreement and End User License Agreement (EULA).
Note: These Terms apply only to individual consumers using the ZSD Platform for personal or household purposes. If you are using the ZSD Platform for business purposes, please refer to the ZSD Services Agreement.
BY USING THE ZSD PLATFORM AS A CONSUMER, YOU AGREE TO BE BOUND BY THE TERMS OF THIS AGREEMENT. IF YOU DO NOT AGREE TO THESE TERMS, DO NOT USE THE ZSD PLATFORM.
Agreement Terms
1.1 Eligibility. To use the ZSD Platform as a Consumer, you must:
- Be at least 18 years old (or the age of majority in your jurisdiction, if higher);
- Have the legal capacity to enter into a binding contract;
- Use the ZSD Platform primarily for personal or household purposes, not for commercial or business activities;
- Create and maintain an account in accordance with our requirements;
- Comply with these Terms, the ZSD Services Agreement, EULA, and all applicable laws.
1.2 Relationship to Other Terms. These Terms incorporate the ZSD Services Agreement and EULA. If there is a conflict between these Terms and the ZSD Services Agreement or EULA, these Terms will prevail with respect to consumer-specific provisions, while the ZSD Services Agreement or EULA will prevail for all other matters.
1.3 Acceptance. By checking the "I agree" box, registering for an account, or using the ZSD Platform in any way, you confirm that you have read, understood, and agree to be bound by these Terms.
2.1 Subscription Plans. ZSD offers various subscription plans for Consumers as described on our Pricing page. Each plan provides specific features and functionality.
2.2 Free Trial. ZSD may offer a free trial period for certain subscription plans. After the trial period, your subscription will automatically convert to a paid subscription unless you cancel before the trial ends.
2.3 Subscription Term. Consumer subscriptions may be monthly or annual, as specified during the subscription process. Subscriptions automatically renew for the same term unless canceled prior to the renewal date.
2.4 Billing and Payment. Consumer subscription fees are billed at the beginning of each subscription period. By subscribing, you authorize ZSD to charge your payment method for the subscription fees, including any applicable taxes. Detailed billing terms are provided in our Payments Terms.
2.5 Subscription Changes. As a Consumer, you may:
- Upgrade your subscription at any time, with the higher fee prorated for the remainder of your current billing period;
- Downgrade your subscription to take effect at the end of your current billing period;
- Cancel your subscription at any time to stop automatic renewal at the end of your current billing period.
3.1 Cancellation by You. You may cancel your subscription at any time through your account settings or by contacting support@zerosumdefense.co. Upon cancellation:
- Your subscription will remain active until the end of the current billing period;
- Your subscription will not automatically renew;
- You will not receive a refund for the current billing period unless required by applicable law.
3.2 Cancellation Period. In some jurisdictions, consumers have a right to cancel certain online purchases within a specific cooling-off period (e.g., 14 days in the European Union). If applicable law provides for such a right and you exercise it within the specified period, ZSD will refund your payment.
3.3 Refund Policy. Except as provided in Section 3.2 or required by applicable law, subscriptions are generally non-refundable. However, ZSD may issue refunds in the following circumstances:
- Technical issues that significantly impair your ability to use the ZSD Platform;
- Billing errors resulting in incorrect charges;
- ZSD’s discontinuation of the service before the end of your paid subscription term.
3.4 Cancellation by ZSD. ZSD may suspend or terminate your subscription if you breach these Terms, the ZSD Services Agreement, or the EULA. In case of termination for breach, you will not be entitled to a refund.
4.1 Digital Content. The ZSD Platform is digital content provided electronically. By accepting these Terms, you acknowledge that:
- The digital content will be provided immediately upon subscription or account creation;
- If applicable law provides a right to cancel purchases of digital content, you expressly consent to receiving the digital content immediately and acknowledge that this may affect your cancellation rights.
4.2 Consumer Warranties. As a Consumer, you are entitled to certain statutory rights and warranties that cannot be excluded by contract. Nothing in these Terms, the ZSD Services Agreement, or the EULA is intended to limit those rights. ZSD warrants that the ZSD Platform:
- Is of satisfactory quality and fit for the purposes described in our documentation;
- Will be provided with reasonable care and skill;
- Complies with the descriptions provided;
- Complies with applicable consumer protection laws.
4.3 Limitations. The warranties provided in Section 4.2 do not apply to issues arising from:
- Your misuse of the ZSD Platform;
- Your failure to comply with our documentation or instructions;
- Issues with your device, network, or third-party software;
- Modifications made by you or third parties;
- Force majeure events outside our reasonable control.
4.4 Remedy for Breach of Warranty. If the ZSD Platform does not conform to the warranties in Section 4.2, you are entitled to:
- Request that ZSD fix the issue within a reasonable time;
- Request a refund or reduction in price if the issue cannot be fixed within a reasonable time;
- Exercise any other rights available under applicable consumer protection laws.
5.1 Consumer Liability Limitations. The limitations of liability in the ZSD Services Agreement are modified as follows for Consumers:
- ZSD’s liability is not limited for losses that result from ZSD’s negligence or breach of contract that could not be reasonably foreseen;
- ZSD’s liability is not limited for fraud, fraudulent misrepresentation, or death or personal injury caused by negligence;
- ZSD’s liability is not limited for breach of your statutory consumer rights;
- For all other losses arising from ZSD’s breach of contract or negligence, ZSD’s total liability is limited to the amount you paid for your subscription in the 12 months preceding the claim.
5.2 Unforeseeable Losses. ZSD is not liable for losses that were not foreseeable to both parties when the contract was formed. Losses are foreseeable if they were an obvious consequence of ZSD’s breach or if they were contemplated by both parties at the time of forming the contract.
5.3 Consumer Protection Laws. Different limitations may apply based on the consumer protection laws in your jurisdiction. If the limitation of liability in Section 5.1 is not permitted by applicable law, liability will be limited to the maximum extent permitted.
6.1 Privacy Policy. ZSD’s collection and use of your personal information is governed by our Privacy Policy. As a Consumer, you have specific rights regarding your personal information as described in the Privacy Policy.
6.2 Communications. By creating an account, you consent to receive electronic communications from ZSD related to your account and the services. You may opt out of marketing communications while continuing to receive essential service communications.
6.3 Data Portability. As a Consumer, you have the right to export and transfer your data in accordance with applicable data protection laws. ZSD provides tools to export your data as described in our Privacy Policy.
7.1 Governing Law and Venue. For Consumers, the governing law and venue provisions in the ZSD Services Agreement are modified as follows:
- If you reside in the United States, disputes will be governed by the laws of your state of residence, without regard to conflict of laws principles;
- If you reside in the European Union, disputes will be governed by the laws of your country of residence, and you may bring legal proceedings in the courts of your country of residence;
- If you reside elsewhere, disputes will be governed by the laws of your country of residence to the extent required by applicable consumer protection laws.
7.2 Informal Resolution. Before filing a claim, you agree to try to resolve the dispute informally by contacting ZSD at legal@zerosumdefense.co. ZSD will try to resolve the dispute informally by contacting you via email. If a dispute is not resolved within 30 days, you or ZSD may proceed with formal dispute resolution.
7.3 Small Claims Court. Either party may seek to resolve a dispute in small claims court if the dispute qualifies for jurisdiction in such court.
7.4 Alternative Dispute Resolution. Consumers in the European Union have the right to refer disputes to an alternative dispute resolution entity. For more information, please contact your local consumer protection authority or visit the European Commission’s Online Dispute Resolution platform at https://ec.europa.eu/consumers/odr.
8.1 Updates. ZSD may update these Terms from time to time to reflect changes in our practices, services, or applicable laws. The updated Terms will be posted on our website with the "Last Updated" date.
8.2 Notice of Material Changes. If we make material changes to these Terms, we will notify you at least 30 days in advance via the email associated with your account or through a notification within the ZSD Platform.
8.3 Consumer Right to Reject Changes. If you do not agree with the updated Terms, you may cancel your subscription without penalty by contacting us before the new Terms take effect. Continued use of the ZSD Platform after the effective date of the updated Terms constitutes acceptance of the changes.
