ZSD Payments Terms

These Payment Terms ("Terms") govern the payment processing, billing, and subscription management services provided by Zero Sum Defense, Inc. ("ZSD," "we," "us," or "our") to users of the ZSD Platform ("Platform"). These Terms are incorporated by reference into the ZSD Services Agreement.
BY SUBSCRIBING TO THE ZSD PLATFORM OR MAKING ANY PAYMENT TO ZSD, YOU AGREE TO THESE TERMS.
Terms Details
1.1 Subscription Plans. ZSD offers various subscription plans with different features, capabilities, and pricing. Current subscription plans are described on our Pricing page.
1.2 Plan Selection. You may select your subscription plan during the sign-up process or modify your plan later through your account settings.
1.3 Pricing Changes. ZSD reserves the right to change the pricing of subscription plans at any time. For existing subscribers, price changes will take effect at the start of the next billing cycle after notice has been provided.
1.4 Price Display. All prices are displayed in US Dollars unless otherwise specified. Prices displayed do not include applicable taxes, which may be added during checkout.
2.1 Billing Cycle. Subscription fees are billed on a recurring basis according to the subscription plan you select (monthly, annual, or other period as specified). Your initial billing date is the date you first subscribe to a paid plan.
2.2 Payment Methods. ZSD accepts various payment methods, including credit cards, debit cards, and other methods specified at checkout. By providing a payment method, you:
- Represent that you are authorized to use the payment method;
- Authorize ZSD to charge your payment method for subscription fees and any other charges you incur;
- Authorize ZSD to store your payment information for future billing.
2.3 Automatic Renewal. Subscriptions automatically renew at the end of each billing cycle unless cancelled prior to the renewal date. By subscribing, you authorize ZSD to process payment for each renewal period.
2.4 Payment Processing. ZSD uses third-party payment processors to handle payment transactions. Your use of these payment processing services is subject to the terms and privacy policies of those processors in addition to these Terms.
2.5 Failed Payments. If a payment fails, ZSD may:
- Attempt to process the payment again;
- Request an alternate payment method;
- Suspend access to paid features until payment is received;
- Downgrade your account to a free tier, if available.
3.1 Taxes. Subscription fees do not include taxes unless expressly stated. You are responsible for paying all applicable taxes related to your use of the ZSD Platform, including but not limited to sales tax, value-added tax (VAT), goods and services tax (GST), and similar taxes.
3.2 Tax Collection. Where required by law, ZSD will collect and remit taxes on your behalf. In such cases, the applicable tax will be added to your invoice.
3.3 Tax Exemptions. If you are tax-exempt, you must provide valid tax exemption documentation before any tax-free purchase. Tax exemption status may not apply retroactively to previous charges.
3.4 Currency Conversion Fees. If your payment is processed in a currency different from the one in which prices are listed, you may incur currency conversion fees imposed by your payment provider.
4.1 Upgrades. You may upgrade your subscription plan at any time. When upgrading:
- The upgraded plan will take effect immediately;
- You will be charged a prorated amount for the remainder of the current billing cycle;
- Subsequent billing cycles will be charged at the full rate of the new plan.
4.2 Downgrades. You may downgrade your subscription plan effective from the next billing cycle. Downgrading will not result in any partial refund for the current billing cycle.
4.3 Enterprise Plans. Custom enterprise plans may have different terms for upgrades and downgrades as specified in your enterprise agreement.
5.1 Cancellation by You. You may cancel your subscription at any time through your account settings or by contacting customer support. Upon cancellation:
- You will continue to have access to paid features until the end of your current billing cycle;
- Your subscription will not renew for the next billing cycle;
- No refund will be issued for the current billing cycle unless required by law.
5.2 Cancellation by ZSD. ZSD may cancel your subscription if:
- You breach the ZSD Services Agreement or these Terms;
- Payment for renewal cannot be processed and you fail to provide an alternative payment method;
- ZSD discontinues the subscription plan you are enrolled in;
- ZSD discontinues the ZSD Platform entirely.
5.3 Refund Policy. Subscription fees are generally non-refundable except in the following circumstances:
- ZSD terminates your subscription without cause before the end of your paid term;
- ZSD discontinues the ZSD Platform or your subscription plan before the end of your paid term;
- You cancel within 14 days of your initial subscription (first-time subscribers only);
- A refund is required by applicable law.
5.4 Refund Process. Approved refunds will be issued using the original payment method unless otherwise agreed. Refund processing time depends on your payment provider and may take 5-10 business days.
6.1 Free Trial. ZSD may offer free trial periods for subscription plans. If you sign up for a free trial:
- You will not be charged during the trial period;
- Your subscription will automatically convert to a paid subscription at the end of the trial period unless you cancel before the trial expires;
- ZSD may require payment information at the time of sign-up for the free trial.
6.2 Promotional Codes. ZSD may offer promotional codes that provide discounted or free access to the ZSD Platform. Promotional codes:
- Must be used in accordance with the specific terms provided with the code;
- Cannot be transferred, exchanged for cash, or combined with other offers unless otherwise specified;
- May expire after a specified time period;
- May be revoked by ZSD if used in a manner that violates these Terms or the specific promotional terms.
6.3 Limitation. Free trials and promotional offers may be limited to one per user, household, or organization. ZSD reserves the right to verify eligibility and enforce this limitation.
7.1 Invoices and Receipts. ZSD will provide access to invoices for all subscription payments through your account dashboard or via email.
7.2 Billing History. Your billing history, including past payments and upcoming charges, will be available in your account settings.
7.3 Billing Disputes. If you believe there is an error in your billing, you must notify ZSD within 60 days of the charge. Notifications should include:
- Your account information;
- The amount and date of the disputed charge;
- A description of the error or discrepancy;
- Any supporting documentation.
7.4 Dispute Resolution. ZSD will review billing disputes in good faith and respond within 30 days. If an error is confirmed, ZSD will issue a refund or credit as appropriate.
8.1 Enterprise Agreements. Organizations subscribing to enterprise plans may have custom billing terms as specified in their Enterprise Agreement. In case of conflicts between these Terms and an Enterprise Agreement, the Enterprise Agreement will prevail.
8.2 Purchase Orders. Enterprise customers may use purchase orders in accordance with their Enterprise Agreement. Purchase order numbers should be included in communications regarding billing.
8.3 User Management. Enterprise accounts may add or remove users according to the terms of their Enterprise Agreement. Changes in user count may affect billing as specified in the agreement.
9.1 Updates. ZSD may update these Terms from time to time. We will provide notice of material changes by posting the updated Terms on our website and notifying you via email or through the ZSD Platform.
9.2 Effective Date. Updates to these Terms will become effective 30 days after notification for existing subscribers, unless a different timeframe is stated in the notification.
9.3 Continued Use. Your continued use of the ZSD Platform after the effective date of revised Terms constitutes acceptance of the updated Terms.
